At MVVP, we advise a broad range of clients – from international corporations to growing and start-up businesses – on merger & acquisition projects and a variety of corporate and finance law matters. We assist clients throughout their entire “corporate life”, from incorporation and setting-up businesses, to corporate governance to restructurings.
Our corporate M&A team helps businesses with issues affecting the acquisition and disposal of companies, local and international mergers, public and private acquisitions, asset deals, auction sales, and divestitures. The team drafts and negotiates merger, purchase and sale agreements in various forms and assists our clients in setting up shareholder agreements and establishing joint ventures. We manage and organize due diligence investigations, as well.
We aim to get well acquainted with the business aspects of a deal and to have an in-depth understanding of both the environment in which the client operates and the decision-making process, as well as the value added that the parties bring to the table. We are trained to work closely with the client’s management team, as well as with specialized teams within the company (legal, finance, sales, etc.). Above all, our approach is hands-on and pragmatic.
Companies in distress as well as creditors (including banks and other financial investors) look to MVVP to assist them with any restructuring, insolvency or debt recovery procedure necessary.
Our lawyers have extensive experience with the Belgian Act of January 31, 2009 on the “Continuity of Companies”, which has fundamentally changed restructuring procedures in Belgium.
We aim to manage the complex relationship between the distressed company and each of its stakeholders with a realistic and pragmatic approach.
